Welcome to Ilara, LLC, our goal is to provide the highest quality services. We want you to be completely satisfied with the process and to benefit from our efforts. This agreement constitutes a contract for services between Ilara, LLC and you, the client. You should read this carefully and raise any questions and concerns you have before registering for services.
Services:
It is our job to take information and skills that you already have and to guide you through making decisions about which changes you would like to make, developing a personal action plan, implementing your action plan for behavioral changes, and developing strategies to maintain the changes you have made. You set the agenda and the success of the enterprise depends on your willingness to share and consider new approaches.
You are solely responsible for creating and implementing your own physical, mental, and emotional well-being, decisions, choices, actions, and results. Services can involve all areas of your life (e.g. work, career, life, education, and recreation). It is solely your responsibility to decide how to handle various areas of your life, incorporate what you are learning, and implement your choices. As such, you agree that Ilara, LLC will not be liable or responsible for any action or inaction, or for any direct or indirect result of any services provided.
The professional relationship is designed to be more direct and challenging. You can expect your coach to be honest and straightforward, asking powerful questions and using challenging techniques to move you forward. The process of change can be difficult, and the services do not offer any guarantee of success. You are expected to evaluate your progress and when the facilitation or coaching is not working as you wish, you should immediately inform your facilitator/coach so that both parties can take steps to correct the problem.

Service areas:
Coaching: A powerful tool to explore where you are now, where you want to be, and how to bridge the divide between the two. You will be in the driver’s seat as we discuss what is most important to you in achieving your goals. Your coach will ask powerful and insightful questions to help you identify what is and what is not supporting your goals. The coaching process will allow you to create action plans to apply what you are learning while making adjustments along the way to maximize your progress. Our goal is to create a space that allows you to move towards your goals.
Senior Coaching: Coaching services provided for those in coach training. You can receive up to 10 free sessions to support your coach development journey.
Debriefing: A powerful tool in processing challenging work situations. This is an opportunity to analyze all aspects of the situation, including the cognitive, emotional, ethical, interpersonal, and overall impact; explore what was effective; explore alternatives available to you; identify your strengths and developmental opportunities; and create an action plan that contributes to success.
Strategic Dreaming: Brings strategic planning and achieving your dreams together. This is a powerful tool for proactively identifying where you want to be (your dreams), examining where you are currently, and identifying how to bridge the gap to maximize your personal and professional success. Independent contractors, freelancers, solo entrepreneurs, and small business owners can benefit from this process.
Note: this is a multi-session process, discuss your options during a free consultation.
Accountability Groups: Provides an opportunity for you to take active steps towards your goals with a community. The groups provide an opportunity for you to connect with others, learn from others, share your goals, share your struggles and your successes, receive feedback from the community, be supported, get ideas and share ideas, and find ways to overcome obstacles.
Group services
Small Group coaching services are provided for groups of no less than two individuals and no more than three individuals. Small group coaching uses laser coaching, allowing each participant to have focused time during the group session (approximately 15 to 20 minutes). This means you will set your own agenda and benefit from listening to other participants process through their own agenda. Listening periods provide opportunities to actively listen, consider how situations apply to you, and to analyze how you might address it in your own life. If you have a small group interested in creating a private group, you are welcome to contact us to identify days and times that work for everyone.
A small group service with one person registered by the start date will be modified for time (shortened to 30 minutes) to avoid the cancellation of the services.
Large group coaching services are provided for groups of four or more people. Large group coaching uses a coach-apply approach. An individual will be selected randomly for a 15 to 20-minute coaching session. The coach will discuss how the coaching topic/session applies to individuals in the group. The number of individuals who receive coaching will depend on the time, a 60-minute large group session will often include coaching for two individuals.
Available groups are listed on the website for your convenience. If you do not see a group that meets your needs, you are welcome to contact us to explore the formation of a new group.
Accountability Groups
Members are provided a community forum to connect with other members working towards their goals. We encourage all members to discuss their goals, share their successes, ask questions, seek guidance, ask for ideas, and share ideas on working towards your goals. The level of engagement is dependent on each member’s participation in the forum. A coach will check in, monitor discussions, ask questions, answer questions, and provide guidance. It is the expectation that the primary involvement will be from members of the community. You are encouraged to answer members questions, share ideas, share what has worked or not worked for you, and to encourage other members as they work towards their goals.
Members are also provided an opportunity to participate in monthly live group sessions. The number of sessions and length of sessions provided will vary for each group, check your group to see how often and how long your group meets. It is the goal of each live group session to conduct at least one mini coaching session (15-20 minutes) for a member who volunteers and to have a question-and-answer period.
Group sessions are dependent on members volunteering for coaching and submitting questions. You are provided a form within the community forum to volunteer for coaching and submit questions. We select volunteers and questions based on covering a variety of topics to benefit members. It is our goal to give as many members as possible a chance to experience mini coaching sessions. While you may not be selected one month, we are working to be sure different members can participate in mini coaching sessions from month to month.
Live group sessions may be provided through audio, video, or livestream. During sessions, member videos will be turned off and audio will be muted. The coach and volunteer for the mini coaching session will be the only participants seen and/or heard.
If you are not able to attend a live group session, you can watch/listen to the recording at a later time. All sessions are recorded and kept within the community forum for three months. Sessions older than three months will be archived. These session recordings may be available for members and customers to listen to as part of a paid service.
After registering for services and providing us the username of your account, go to the group forum and request to join. Once your payment is completed (processed and approved), we will grant you access to the group. It is your responsibility to request and monitor your access to the forum.
Group Guidelines:
It is the goal of group work to create a welcoming, safe, and comfortable environment for members to share their personal experiences.
We are all in this together and the following guidelines are provided to facilitate positive group interactions:
· Treat everyone with respect
· Be kind and curious – healthy debates are natural but kindness and curiosity is required.
· Support other members experiences
· No hate speech or bullying – degrading comments will not be tolerated.
· Be civil – we do not accept foul language
· Respect everyone’s privacy – authentic and honest discussions make groups great but may be sensitive and private, what’s shared in group remains in the group.
· Posts and responses should be group and topic related
· No promotions, spam, selling, or marketing
· Report rule violations – we may miss something and want an opportunity to address it
· If you have questions or concerns, reach out to the admins for assistance.
Not following group guidelines will result in removal from the group.
Email services:
Email services are used to supplement in-person coaching and provide an opportunity for guidance and checking in with your coach between sessions. Emails provide a series of questions to get you thinking about your focus and get you started on your independent work.
Limitations of services:
You understand that Ilara, LLC does not provide behavioral health nor medical care. The services provided are not a substitute for mental health or medical care and will not diagnose, treat, prevent, or cure any mental disorder or medical disease. You understand that these services are not to be used in place of any form of diagnosis, treatment, or therapy.
If you are currently in therapy or under the care of a mental health professional, by signing this agreement you declare that you have consulted with your mental health care provider regarding the use our services and that this person is aware of your decision to proceed.
You understand that services provided are not a substitute for professional advice by other qualified professionals (e.g. legal, medical, financial, business, or spiritual). You will seek independent professional guidance for these matters. You understand that all decisions in these areas are exclusively your own and acknowledge that your decisions and actions regarding them are solely your responsibility.
Session time:
You are expected to schedule individual/group sessions at least 24-hours in advance. You can schedule all sessions by using the booking calendar link provided.
Payment for services is expected in advance. Any scheduled sessions not paid for in advance will be cancelled.
Accountability groups provide monthly live sessions for members to join in on the same day and at the same time each month. If you are unable to attend, recordings of the session remain available in the community forum up to three months.
Call procedure:
You will call the coach using the telephone number or videoconference link as scheduled. You are expected to pay for any charges that arise from connecting to the conference system.

You must provide 24-hour notice if you need to cancel or change the time of a session, otherwise your session payment will not be refunded.
If you have not officially cancelled your session and are late by 15 minutes, you will forfeit that session time and you will be charged for the scheduled time in full.
Volunteers for mini coaching sessions in live group sessions are expected to provide 24-hour notice if they are unable to attend. If you have not officially notified us, you will forfeit your mini coaching session.
Participants of membership groups are welcome to attend or watch/listen to the recording of the live group sessions. You are not required or expected to notify us of your ability or inability to attend a session.

If, for any reason, Ilara, LLC believes that you would be better served by another resource, we reserve the right to refer you elsewhere and/or cancel the services immediately.
Either party may end the service relationship by providing the other party a one-week written notice by email. We will refund any unused pre-paid service fees minus any services provided and minus any administrative fees (e.g. testing fees, processing fees).
Confidentiality:
We are ethically bound to protect the confidentiality of our communications. Release of progress and outcomes are negotiated in this contract, or as required legally.
Group sessions: By signing this contract, you commit to maintaining the confidentiality of all information communicated between participants. We understand that progress is often enhanced when you discuss your coaching relationship with trusted colleagues and friends. You can have these discussions, but you must in no way share information that leads to the identification of others in the group or leads to the identification of people involved in the scenarios shared. If you are ever in doubt regarding what to reveal and what not to reveal, err on the side of protecting the privacy of others.
If you would like to remain anonymous within community forums, you can create a separate account with the information you want to share or adjust your settings accordingly. Be sure to provide us with an accurate and up to date username when registering for services. This is what we will use to identify you and approve your request to join the forum.
Live group sessions within membership groups are recorded. The video/audio recording is maintained within the group for up to three months. If you are participating in a live group mini-coaching session, you can choose the format you are most comfortable with, video and audio or audio only. Once recordings are archived, they may be available for members and customers to access as part of paid services.

If you are using services as part of an organization service contract: You are protected by confidentiality based on the agreement established by the organization. We encourage clients to share their progress with their supervisors and respect their right to confidentiality of the topics discussed. If you are uncertain of the confidentiality agreement established by your organization, please contact us for details.
You understand that some topics covered in coaching sessions may be anonymously and hypothetically shared with other coaching professionals for training or consultation purposes.
Release of Information:
Coaches engage in training and continuing education pursuing coaching credentials. This process requires the maintenance of client names and contact information. By signing this agreement, you agree to have only your name, contact information, and start and end dates of coaching shared with coaching certification agency representatives for the sole and necessary purpose of verifying the coaching relationship. Personal notes will not be shared with any representative.
Mutual Nondisclosure:
Ilara, LLC and you mutually recognize that we may discuss future plans, business affairs, customer lists, financial information, job information, goals, personal information, and other private information. We will not voluntarily communicate your intellectual property. You likewise agree not to disclose or communicate information about our practices, materials, or methods to any third parties.
Payment Procedure:
Payment for services is expected in advance. Services not paid for in advance will be cancelled.
Once you agree to this service agreement and payment is received, you can begin accessing the services. This may include scheduling coaching sessions or gaining access to membership forums.
For accountability groups - access will be based on the date your payment is completed. This date will serve as your start and termination of date for service. For example, if your payment is completed on the 5th of the month, your services will begin on the 5th of the month and your services will be terminated before 5pm on the 5th of the last month of your services. If your payment is completed on dates between the 29th and 31st and your termination date does not exist in that month, your services will be terminated before 5pm on the 1st of the next month. It is solely your responsibility to monitor and maintain your access by making payments before your termination date.
Packages of services are provided. Please choose a plan that best fits your needs and your schedule. It is your responsibility to ensure that all services on your selected plan are used within the timeframe specified on your plan. Unused services will not be refunded.

Professional time spent outside of sessions, including, but not limited to, between-session phone calls, text exchanges, email exchanges, or reading or reviewing documents will be billed at the single session rate and rounded up to the nearest quarter of an hour.
No refunds will be issued for services completed. Unused services can be refunded up to 1 month from the original purchase date, minus any services provided (at full price) and minus any administrative/service fees (e.g testing fees, processing fees). You must submit a written request for a refund prior to the 1-month grace period. Any unused services after the 1-month grace period will not be refunded.
Use of the website:
For any content or information that you upload, display, post, transmit, send, email or submit to us on the website or on any of our social media sites, you warrant that you are the owner of that content or have express permission from the owner of those intellectual property rights to use and distribute that content to us.
You grant us a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to publish, post, reformat, copy, distribute, display, edit, reproduce any content provided by you on our website and on any of our social media sites for any purpose. You shall be solely liable for any damages resulting from any infringement of copyrights, trademark or other proprietary rights of any content or information that you provide to us.
You agree not to upload, display, post, transmit, distribute, send, email or submit to us on the website or on any of our social media sites any information or content that (a) is illegal, violates or infringes upon the rights of others, (b) is defamatory, abusive, profane, hateful, vulgar, obscene, libelous, pornographic, threatening, (c) encourages or advocates conduct that would constitute a criminal offense, giving rise to civil liability or otherwise violate any law, (d) is spyware, computer virus, any kind of malicious computer software or any other harmful information that is actionable by law, (e) gains unauthorized access to any portion or feature of the website, and (f) sends unsolicited or unauthorized material or causes disruption in the operation of the website. You agree to use the website for lawful purposes only and shall be liable for damages resulting from the violation of any provision contained in these terms.

The website may contain links to third-party websites or resources for your convenience. we do not own or control these third-party websites. Once you click on a third-party link and leave this website, you are no longer bound by our terms and conditions.
You agree that we are not responsible or liable for the accuracy, content or any information presented on these third-party websites. You assume all risks for using these third-party websites or resources and any transactions between you and these third-party websites are strictly between you and the third party. We shall not be liable for any damages resulting from your use of these third-party websites or resources.
Use of our paid and free products
We may offer free products for you to download and also sell paid courses, programs, physical or digital products and any other related materials (collectively, “products”) on this website. All our products and/or services including all content are protected by copyright pursuant to the US and international copyright laws. You are granted a limited revocable license to print or download content from our digital products for your own personal, non-commercial, non-transferrable, informational and educational use only while ensuring it’s not in violation of any copyright, trademark, and intellectual property or proprietary rights. Copying or storing our content for other than personal use is expressly prohibited without our prior written consent.
You acknowledge and agree that you have no right to share, modify, sell, edit, copy, reproduce, create derivative works of, reverse engineer, enhance exploit our products. You cannot sell or redistribute any of our products, whether free or paid ones, without our express written consent. You agree to abide by the copyright, trademark laws and intellectual property rights and shall be solely responsible for any violations of these terms and conditions.
Limitation of liability:
You agree that under no circumstances, we shall be liable for any direct, indirect, incidental, consequential, equitable, special, punitive, exemplary or any other damages resulting from your use of this website including but not limited to all the content, information, products, services and graphics presented here.
You expressly agree that your use of the website is at your sole risk and that you are solely responsible for the accuracy of the personal and any information you provide, the outcome of your actions, personal and business results, and for all other use in connection with the website.
You also expressly agree that we or anyone else working with us shall not be liable to you for any damages resulting from: 1) any errors or omissions on the website, delay or denial of any products or services, failure of performance of any kind, interruption in the operation and your use of the website, website attacks including computer virus, hacking of information, and any other system failures, 2) any loss of income, use, data, revenue, profits, business or any goodwill related to the website, 3) any theft or unauthorized access by third party of your information from the website regardless of our negligence, 4) any use or misuse of the information, products and/or services offered here.

Service Agreement Modification:
This service agreement may be updated from time to time. We will provide the most updated version on our website for your review. Updates will be highlighted at the top of the terms of service page.
Legal Notification:
This service agreement shall be governed by the laws of the State of Maryland without regard to its conflict of laws provisions, and the exclusive venue for disputes arising out of or related to this agreement shall be the appropriate state or federal court located in the County of Kent. By registering and scheduling services, you consent to the jurisdiction and venue of the courts listed.
Minors:
You must be 18 years old to access services and livestream events.
Individuals under the age of 18 wishing to participate in services must have a parent/legal guardian complete the Parent/Legal Guardian Authorization Form prior to registering for any services (link to authorization form provided below).
Ilara, LLC encourages parents/legal guardians to schedule a ½-hour free consultation to address any questions, to explore the best service options, and to be sure it is a good fit for all parties.
Ilara, LLC encourages parents/legal guardians to review the service agreement with their minor child.
Individuals under the age of 18 must also provide acknowledgement that they have read the terms of service when they schedule services.
Ilara, LLC encourages individuals under the age of 18 to discuss all sessions with parents/legal guardians. Parents/legal guardians may request general information about our work with their minor child.
